Company Secretary & Entity Manager

About the role

As we expand into new markets, we need to set up new entities and keep the existing ones in good standing. We’re hiring a Company Secretary & Entity Manager to own that work end to end across the RemotePass group, reporting to the Head of Finance. This is an execution role. We need someone who has done the work themselves: incorporating entities, filing with registries, drafting resolutions, and getting documents notarised and legalised.

What you'll do

• Set up new entities. Run entity setup in new markets from scoping through incorporation, licensing, tax and social security registrations, bank account opening
• Keep every entity compliant. Manage statutory filings, licence renewals, director and shareholder changes, POAs, UBO registers
• Run company secretarial work. Draft board and shareholder resolutions, keep corporate records and the group structure chart current, and manage notarisation
• Manage providers. Select and manage local counsel and corporate service providers across jurisdictions, and keep them on time and on budget
• Track everything. Build and own an entity and compliance calendar so no filing, renewal, or deadline slips

What you need
